VOLUNTEER RELEASE AND WAIVER

RELEASE OF LIABILITY, WAIVER OF CLAIMS

ASSUMPTION OF RISKS AND INDEMNITY AGREEMENT

(hereinafter referred to as the “Release Agreement”)

BY SIGNING THIS DOCUMENT YOU WILL WAIVE OR GIVE UP CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE OR CLAIM COMPENSATION FOLLOWING AN ACCIDENT OCCURRING WHILE TAKING PART IN VOLUNTEER ACTIVITIES

This Agreement shall apply to my appointment to be a volunteer of the Greater Vancouver International Film Festival Society and all subsequent appointments

TO: Greater Vancouver International Film Festival Society

(hereinafter “The Society”)

THIS RELEASE AND WAIVER OF LIABILITY (the “Release”) signed on this day of August 22, 2013  by you (the “Volunteer”) in favour of the Society, a Canadian non-profit Society and its directors, officers, employees, agents, assigns, volunteers, representatives, sponsors, volunteers, affiliated partners, independent contractors, subcontractors, investors, successors, subsidiaries and partners (collectively, the “Releasees”).

  1. DEFINITION OF VOLUNTEER ACTIVITIES

In this Release Agreement, I acknowledge the term “Volunteer Activities” shall include all activities, events and services, and use of facilities provided, arranged, organized, conducted, sponsored or authorized by the Society and shall include but is not limited to: orientation and instructional sessions; transportation to and from areas used for the activities, volunteer duties, and all activities connected with the Society including but not limited to the Vancouver International Film Festival, the Vancouver International Film Centre (Vancity Theatre), and the Vancouver International Film & TV Forum.

  1. ASSUMPTION OF THE RISKS

I understand and agree that Volunteer Activities may include work that involves inherent risks and dangers that may put the Volunteer at risk of injury or illness, including death. I acknowledge that these risks and dangers may arise from any number of circumstances, including those caused by physical activities performed in a variety of environmental settings, including but not limited to indoor and outdoor settings; in, on and around various forms of equipment; working around special effects and obstacles, and vehicular traffic; other participants including volunteers and patrons; physically loading and unloading; transportation to and from venues; in varied weather conditions.

I further acknowledge and agree that hazards and other risks to my health and safety

may exist, and may occur without warning, and that safety equipment, supervision and

enforcement of rules do not guarantee safety.

3. NEGLIGENCE ON THE PART OF THE SOCIETY OR ITS STAFF

I agree that I will assume the risk of any injury or harm that could occur as a result of

any negligent act or omission of the Society and its staff. I understand that negligence includes failure on the part of the Society to take reasonable steps to safeguard or protect me from the risks, dangers and hazards during Volunteer Activities.

4. INSURANCE

I understand that the Society does not carry or maintain health, medical, disability, Workers Compensation insurance coverage, property and automobile insurance for any Volunteer.

5. RELEASE OF LIABILITY, WAIVER OF CLAIMS AND INDEMNITY AGREEMENT

In consideration of the Society accepting my application to be a Volunteer and receiving

the benefits of being a volunteer provided to me by the Society I hereby agree as follows:

  1. TO WAIVE ANY AND ALL CLAIMS that I have or may in the future against the Society and its directors, officers, employees, agents, representatives, volunteers, sponsors, successors and assigns (all of whom are collectively referred to as “the Releasees”).

  1. TO HOLD HARMLESS AND INDEMNIFY THE RELEASEES from any and all liability for any damage to property of or personal injury to any third party, resulting from my participation in the Volunteer Activities.

  2. This Release Agreement shall be effective and binding upon my heirs, next of kin, executors, administrators, assigns and representatives, in the event of my death or incapacity.

  3. This Release Agreement and any rights, duties and obligations as between the parties to this Release Agreement shall be governed by and interpreted solely in accordance with the laws of the Province of British Columbia and no other jurisdiction.

  4. Any litigation involving the parties to this Release Agreement shall be brought solely within the Province of British Columbia and shall be within the exclusive jurisdiction of the Courts of the Province of British Columbia.

  5. In entering into this Release Agreement I am not relying upon any oral or written representations or statements made by the Releasees with respect to the safety of the Voluntary Activities other than what is set forth in this Agreement.

  6. This Release Agreement shall apply to all subsequent appointments of me as a Volunteer.

I HAVE READ AND UNDERSTAND THIS RELEASE AGREEMENT AND I AM AWARE THAT BY SIGNING THIS AGREEMENT I AM WAIVING CERTAIN LEGAL RIGHTS WHICH I OR MY HEIRS, NEXT OF KIN, EXECUTORS, ADMINISTRATORS, ASSIGNS AND REPRESENTATIVES MAY HAVE AGAINST THE RELEASEES.

I have carefully read the above Release, had an opportunity to ask any questions concerning its contents, and know the contents of the Release and sign this Release voluntarily.

MEDIA AND PHOTOGRAPHIC RELEASE

From time to time, any of the Releasees or their authorized representatives, may wish to photograph, video, audio tape Volunteers and Volunteer Activities, either individually or as part of a group.

And that from time to time, Releasees may wish to use such images and audio recordings, both internally and externally, for administrative purposes, and/or for purposes associated with, but not limited to, the marketing, promotion and hosting of the Activities of the Greater Vancouver International Film Festival Society.

I hereby grant and convey unto the Releasees or their authorized representatives all right, title and interest in any and all images, and/or video, and/or audio made during my participation as a Volunteer with the Greater Vancouver International Film Society, including but not limited to, any royalties, proceeds, or other benefits derived from such photographic or audio recordings.

I also hereby release the Releasees from any and all claims which I may have now or in the future have relating to ownership, use, reproduction, display, distribution or other exploitation of the materials produced by, or at the direction of, the Releasees, which contain my name, voice, image, or likeness.

CONFIDENTIALITY AGREEMENT

In this Agreement, Confidential Information means information or material relating VIFF’s business or assets that is not generally available, known, or used by others, or the utility or value of which is not generally known or recognized as standard practice, whether or not the underlying details are in the public domain, including data, business practices, budget, financial information, formulas, compilations, computer programs, devices, inventions, designs, methods, techniques, marketing and commercial strategies, customer lists, supplier information, processes, data, concepts and know-how.

  1. The Volunteer acknowledges that the information found in VIFF’s books, records, printouts, lists, notes, or any other documents or copies thereof relating to the business of VIFF is confidential and the exclusive property of VIFF and can only be used for the benefit of VIFF at all times while volunteering for VIFF.

  1. VIFF’s most valuable assets are its Confidential Information, Works and intellectual property. The Volunteer acknowledges that VIFF is an enterprise whose success is attributable largely to the ownership, use and development of Confidential Information, Works and intellectual property. As a term and condition of volunteering with VIFF, you must agree to assist VIFF to protect its Confidential Information, Works and intellectual property at all times.

  1. The Volunteer shall not at any time while volunteering for VIFF use for the Volunteer’s own interest and shall not release directly or indirectly to anyone any Confidential Information, and any information concerning VIFF’s Works and intellectual property.

  1. The terms of this agreement are confidential and by the acceptance hereof, the Volunteer undertakes to not disclose the terms of this agreement to any third party without the consent of VIFF.
